1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and Kurma AI, Inc. ("Kurma AI," "we," "our," or "us"), a company headquartered in San Francisco, California. By accessing or using any of our products, services, applications, or website (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Services.

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Description of Services

Kurma AI develops and operates AI-powered products and platforms for the global aquaculture and fisheries industry. Our Services currently include:

• AquaChat. A free AI assistant available on the web (aquachat.co), iOS, and Android, providing domain-specific guidance on aquaculture practices, disease diagnosis, water quality management, and feed optimization. AquaChat supports 13+ languages with voice capabilities. No account creation or sign-up is required.
• AQUA Models. Domain-specific large language models (AQUA-7B and AQUA-1B) for aquaculture, available as open-source software under the Apache License 2.0 on HuggingFace. Use of AQUA Models is governed by the Apache 2.0 license terms where those terms apply.
• kurma.ai. Our corporate website, including research publications, blog content, and product documentation.

3. Inputs, Outputs, and Materials

3.1 Definitions

"Inputs" means any text, voice, image, or other content you submit to our Services. "Outputs" means the AI-generated responses, recommendations, analyses, or actions produced by our Services. "Materials" means Inputs and Outputs collectively.

3.2 Ownership

You retain all rights in your Inputs. Subject to your compliance with these Terms and applicable law, Kurma AI assigns to you all of its right, title, and interest — if any — in Outputs generated specifically for you. You acknowledge that due to the nature of AI systems, similar or identical Outputs may be generated for other users submitting similar Inputs, and Kurma AI makes no representation of exclusivity with respect to any Output.

3.3 Accuracy Disclaimer

You acknowledge and agree that: (a) Outputs may not always be accurate, complete, or current, and may contain material inaccuracies; (b) Outputs are provided for informational purposes only and should not be relied upon as a substitute for professional veterinary, scientific, environmental, or regulatory advice; (c) you are responsible for independently evaluating and verifying the accuracy of any Output before relying on it for aquaculture operations, regulatory compliance, or any other purpose; and (d) Kurma AI does not guarantee that any Output reflects correct, current, or complete information about aquaculture species, water chemistry, disease pathology, or regulatory requirements.

4. Permitted Use and Restrictions

You agree to use our Services only for lawful purposes consistent with these Terms. You shall not:

• Use our Services in violation of any applicable local, state, national, or international law or regulation, including export control and sanctions laws;
• Use our AI models or Outputs to generate content that is misleading, deceptive, fraudulent, defamatory, or harmful;
• Attempt to reverse-engineer, decompile, or disassemble any proprietary component of our Services (open-source components are governed by their respective license terms);
• Use automated tools, bots, or scripts to access our Services without prior written authorization, except as permitted through our published APIs;
• Interfere with, disrupt, or impose an unreasonable burden on our Services, infrastructure, or connected networks;
• Resell, sublicense, or redistribute access to proprietary components of our Services without written authorization;
• Use our Services to build a competing product, train a competing AI model, or create derivative works intended to replace our Services;
• Upload or transmit any malicious code, viruses, or harmful content through our Services;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

5. Open-Source Software

Certain components of our Services, including AQUA-7B, AQUA-1B, and the AQUA Test Dataset, are released under open-source licenses (Apache License 2.0). Your use, modification, and distribution of these components is governed by the applicable open-source license terms, which prevail over these Terms to the extent of any conflict. Proprietary components of our platform — including, without limitation, AquaChat's backend infrastructure and the AQUADAPT framework — are not open-source and are subject exclusively to these Terms. The Kurma AI name, logo, and product names (AquaChat, AQUADAPT) are trademarks of Kurma AI, Inc. and may not be used without written permission.

6. AquaChat — Free Service Terms

AquaChat is provided free of charge to all users with no account creation required. We reserve the right to modify, suspend, limit, or discontinue AquaChat, in whole or in part, at any time and for any reason, with or without prior notice. We may impose usage limits, rate limiting, or other restrictions as necessary to maintain service quality and prevent abuse. AquaChat is intended as a supplementary advisory tool for aquaculture practitioners. It is not a substitute for consultation with qualified aquaculture professionals, veterinarians, or regulatory authorities. Reliance on AquaChat Outputs for operational decisions — including but not limited to disease treatment, chemical dosing, feeding schedules, or regulatory compliance — is at your own risk.

7. Intellectual Property

Except for the rights expressly granted in these Terms, Kurma AI and its licensors retain all right, title, and interest in and to the Services, including all proprietary technology, algorithms, models (excluding open-source models), software, content, trademarks, trade secrets, and other intellectual property. Nothing in these Terms grants you any right to use the Kurma AI name, logo, or trademarks without prior written consent. Our research publications, including papers published on arXiv, are subject to their respective academic publishing and licensing terms.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. KURMA AI SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE; (C) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (D) ANY DATA PROVIDED THROUGH THE SERVICES WILL BE ACCURATE OR RELIABLE. YOU ACKNOWLEDGE THAT AI SYSTEMS MAY PRODUCE UNEXPECTED, INACCURATE, OR INAPPROPRIATE OUTPUTS, AND YOU ASSUME ALL RISK ARISING FROM YOUR USE OF AND RELIANCE ON THE SERVICES AND ANY OUTPUTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KURMA AI, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF KURMA AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION INCLUDES, WITHOUT LIMITATION, ANY LOSSES RELATED TO AQUACULTURE OPERATIONS, FISH MORTALITY, CROP LOSS, EQUIPMENT MALFUNCTION, REGULATORY NON-COMPLIANCE, OR ENVIRONMENTAL DAMAGE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO KURMA AI IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Kurma AI, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your Inputs or any content you submit through the Services; or (e) any products, services, or decisions made using our Outputs or AI-generated recommendations.

11. Termination

We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice, including for violations of these Terms. Upon termination, your right to use the Services ceases immediately. Sections 3 (Inputs, Outputs, and Materials), 7 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law and Dispute Resolution) shall survive any termination or expiration of these Terms.

12. Modifications to Terms and Services

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and, where practicable, provide additional notice. Your continued use of our Services after the effective date of the revised Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using our Services. We may also modify, suspend, or discontinue any aspect of the Services at any time, including features, availability, or hardware compatibility, without liability to you.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts. You agree to waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

14. General Provisions

• Entire Agreement. These Terms, together with our Privacy Policy and any applicable open-source licenses, constitute the entire agreement between you and Kurma AI with respect to the subject matter hereof, and supersede all prior or contemporaneous understandings or agreements, whether written or oral.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
• Export Compliance. You represent and warrant that you are not located in a country subject to a U.S. government embargo or that has been designated as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
